Terms of Service

These Terms of Service (“Terms”) govern your use of the Qwick Cert platform and services (the “Service”) provided by Qwick Cert, Inc. (“Qwick Cert”, “we”, “our”, or “us”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. Description of Service
Qwick Cert is a developer-experience platform that simplifies Windows Authenticode code signing via Microsoft Azure Artifact Signing. The Service acts as a digest proxy: your tools compute the Authenticode digest locally and send only the 32-byte hash to the Qwick Cert API. The server signs the digest using Azure Trusted Signing and returns a PKCS#7 signature. Azure credentials are managed entirely server-side and never leave the Qwick Cert backend.
Use of the Service requires a valid Microsoft Azure subscription and an Azure Trusted Signing account. Qwick Cert is an independent service and is not affiliated with or endorsed by Microsoft Corporation.
2. Accounts and Organizations
2.1 Registration
You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
2.2 Organizations
The Service is organized around organizations (workspaces). Each organization is created by an owner, who may invite additional members with roles of Admin, Signer, or Viewer. You are responsible for all actions taken by members of your organization.
2.3 Acceptable Use
You agree not to:
- Use the Service to sign malicious software, malware, ransomware, or any software designed to harm users or systems
- Attempt to circumvent or reverse-engineer the signing mechanism
- Share API keys or access tokens beyond authorized users
- Use the Service in violation of any applicable law or regulation
- Attempt to access another organization's data or credentials
- Use the Service to process files you do not have the right to sign
- Probe, scan, or test the vulnerability of the Service without prior written consent
- Interfere with or disrupt the integrity or performance of the Service
3. Azure Integration and Responsibilities
You are responsible for maintaining a valid Azure subscription, Azure Trusted Signing account, and the Azure service principal credentials you provide to Qwick Cert. You represent that you have all necessary rights and permissions to use those Azure resources through the Service.
Qwick Cert stores your Azure credentials in encrypted vault storage (AES-256) and uses them solely to issue and revoke short-lived signing credentials on your behalf. We do not use your Azure credentials for any other purpose.
The concurrent signing session limit (maximum 2 active sessions per Azure app registration) is an Azure platform constraint. Qwick Cert enforces a queue to manage this limit, but cannot guarantee signing availability if Azure infrastructure experiences outages.
4. Billing and Payment
4.1 Plans
The Service is offered on a subscription basis. Plan details, pricing, and feature limits are available at qwickcert.com/pricing. A free tier is available with limited functionality.
4.2 Payment
Paid subscriptions are billed in advance on a monthly or annual basis. All payments are processed by Stripe. By providing a payment method, you authorize us to charge the applicable fees.
4.3 Cancellation and Refunds
You may cancel your subscription at any time from the dashboard. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then. We do not provide refunds for partial billing periods, except where required by applicable law.
4.4 Plan Limits
If your usage exceeds the limits of your plan (e.g., number of projects or team members), you will be prompted to upgrade. We reserve the right to suspend Service features that exceed plan limits.
5. Intellectual Property
Qwick Cert and its licensors retain all ownership rights in the Service, including the dashboard, API, CLI, GitHub Action, and all underlying technology. These Terms do not grant you any rights to Qwick Cert's trademarks or branding.
You retain all rights to your signing artifacts (executables, libraries, etc.) and the Azure resources associated with your account.
6. Confidentiality
The Service handles sensitive credentials on your behalf. We treat all signing credentials and Azure configuration as confidential and apply technical and organizational measures commensurate with their sensitivity. See our Privacy Policy and Data Processing Agreement for details.
7. Availability and SLA
We target high availability and operate uptime monitoring at status.qwickcert.com. However, the Service is provided “as is” without an uptime guarantee unless a separate Service Level Agreement is executed in writing. Scheduled maintenance will be announced via the status page with reasonable advance notice.
8. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. QWICK CERT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
THE SERVICE DEPENDS ON THIRD-PARTY INFRASTRUCTURE INCLUDING MICROSOFT AZURE, AND WE ARE NOT RESPONSIBLE FOR FAILURES OR OUTAGES IN THOSE SERVICES.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QWICK CERT, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF QWICK CERT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ANY CASE, QWICK CERT'S AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO QWICK CERT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
10. Indemnification
You agree to indemnify, defend, and hold harmless Qwick Cert and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights (including Microsoft Azure terms of service).
11. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access to the Service immediately if we have reason to believe you have violated these Terms, applicable law, or are engaged in activity that harms Qwick Cert, its users, or third parties. Upon termination, your right to use the Service ceases immediately. We will revoke any outstanding Azure credentials associated with your organization.
Provisions that by their nature should survive termination (including Sections 5, 8, 9, 10, and 13) will remain in effect.
12. Changes to These Terms
We may modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or a prominent notice in the dashboard. Continued use of the Service after the effective date of revised Terms constitutes your acceptance.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws provisions. Any dispute arising out of or related to these Terms shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
If you are a consumer located in the European Union, you may also contact your local data protection authority or pursue claims through the EU Online Dispute Resolution platform.
14. General
- Entire Agreement: These Terms, together with our Privacy Policy and Data Processing Agreement, constitute the entire agreement between you and Qwick Cert regarding the Service.
- Severability: If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.
- Waiver: Our failure to enforce any provision of these Terms will not be deemed a waiver of our right to do so in the future.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
